Mark Nordenberg then asks about the BCS and its future. Given the current BCS agreement --and the fact that it lacks a composition clause -- he believes that the BIG EAST Conference should promote the fact that it is in the BCS until at least 2005- Obviously, nobody knows what will happen after that point. Consequently, we should each be focused on promoting that.

Tranghese adds the fact that the future of the BCS has been threatened by what has occurred with the ACC- This is based on the anti-trust issue which looms as a major problem in light of what has recently occurred.

A long discussion ensues about the nature of the RCS, the current contract, the rules regarding the retention of our automatic berth, the anti - trust issue, whether or not a strong basketball conference helps the maintenance of that berth, etc.

Father Leahy asks whether or not a BIG E.AST Conference 16-team model could exist with two separate constitutions- Tranghese explains that it could and also indicates that the NCAA does not have jurisdiction over the BCS.

David Hardesty states that the current BIG EAST Conference constitution does not list a board of director or a CEO. This is problematic and unlike the way a 501c3 corporation or business should function.

Mike Tranghese explains that if the conferences were to dissolve and the basketball component only have five members they would have no automatic bids for any spot. The NCAA could be petition for a waiver but that is an uncertain process.

A discussion regarding a possible negotiation or divorce settlement with the basketball schools then takes place. Jerry Cochran explains that there is an inherent loophole in the BIG EAST dissolution clause because it implies that only the football schools have a right to vote on dissolution.

Buzz Shaw asks if there is any AD support for the 16-team model. Given none, he asks that the group explore the concert of the 8/9 model.

Several of those present raise the question of Notre Dame and their potential options; David Hardesty then indicates that this group of six needs to establish a timetable; Mark Nordenberg ask for clarification on the USA withdraw clauses;

The group takes a short break and asks the Directors to identify those issues which need CEO action in the next 24 hours.

During the break, those issues are identified as follows:

(1) Determining which of the three options presented to pursue;
(2) Alter the UConn entry date and agreement;
(3) Formalize the binding agreement between the six;
(4) Determine Notre Dame and Penn State strategies;
(5) Determine an internal negotiation strategies;
(6) Determine who/how to approach potential new partners
(7) Establish timelines

Once the break is over, the group reconvenes and discusses/resolves each of these issues in the following manner:

(I) The group voles 6-0 to pursue option B (16-school model) - the 8/9 team/I-A conference model

(2) Discussion ensues about the UConn entry date and agreement, Questions arise about the BCS contract and how this action may possibly affect the BIG EAST BCS automatic berth President Austin and Jeff-Hathaway ask that the group revisit the revenue sharing portion of the agreement. Jake Crouthamel then points out that the overall television football revenues will decrease significantly in the new football 8/9 configuration and our long term BCS payout will he in doubt- Given this reality, Buzz Shaw suggests that the group agree that it is committed to establishing a fair financial agreement and that this decision be made once we find out what our future TV and BCS dollars actually are. The group unanimously agreed.

(3) The group then visits the question of its commitment to each other- Father Leahy suggests that we defer this discussion until we have resolved the last four issues listed.

(4) Chancellor Shaw suggests that Michael Tranghese have a preliminary discussion with Notre Dane via Kevin White. This conversation should begin by providing Kevin a basic understanding of the entire matter and the position which ND will be put in at the end of the day. Further, state that Father Malloy should expect a visit/call from the 1-A's in the near future.

Bob Mulcahy suggests that this group approach Penn State CEO Graham Spanner directly about the possibility of joining the BIG EAST Conference. Buzz Shaw will make this approach.

(5) Buzz Shaw suggests that the BIG EAST identify the issues that the football and basketball schools need to focus on in a negotiation. [color=green]Tranghese identifies the following issue the conference name, units, NCAA automatic qualifications, reserve fund, informal scheduling arrangement and assets/debts of conference. The VT entrance fee balance of $1.9M is also discussed since it exclusively benefits the basketball schools. The football CEO

David Hardesty asks that the group support Marshall as an all-sport candidate. There is no other support among the group.

The Presidents unanimously support the AD recommendation of full candidacy for the University of Louisville. The group also suggests that Cincinnati continue as a viable candidate -- but that due diligence be done on their compliance with NCAA rules and regulation. Dick McCormick suggests that due diligence also be done wills Louisville and any other can candidates considered.

Buzz Shaw then asks for discussion about federated members including Amy, Navy and Temple. This matter takes up a great deal of time and there is a divide among the group relative to specific federated candidates. [color=red]This question/issue also galvanizes the issue of whether the six members of this group and come to

Discussion about the possibility of reconfiguring the league revenue sharing formula ensues. The group feels dial this is not a prudent proposal and rejects the concept for a number of reasons.

Issues for tomorrow morning: Conference Commissioner issues; status of lawsuit and PR firm and negotiations with the five.

This group will approve a media advisory in the morning. Mark Nordenberg will be the spokesperson and state the following:

1.) Reaffirmed our commitment to be a strong and highly competitive conference
2.) Confirmed penalties concerning the group's commitment to each other.
3.) Discussed and reviewed football scheduling issues.
4.) Moved up the Connecticut football entrance timetable.

Following executive session

Negotiating team will consist of Mark Nordenberg, Bill Leahy, Buzz Shaw and Take Crouthamel and they would lure their own legal counsel.

David Horde and Mark Nordenberg will look at the bylaws and constitution issues discussed earlier.

Dick and Phil will work with Mike T on the due diligence issues. Two questions: Are they worthy and what can we offer them and they offer us. Dick will chair this group and Michael will join them.

Buzz spoke with Michael and they are grateful that he will stay with them for two years.
[color=green]They said they were committed to the third years of Michael
